Service Provider: Virtual Admins
1) Services
We will provide digital marketing services including SEO, SMO, PPC management as per the agreed scope or SOW.
2) Fees & Billing
- Monthly retainer: $2,000 (unless revised in writing)
- Invoices due: Net 7/15/30
- Late payments incur agreed interest
3) Advertising Spend
Advertising spend is separate and is paid directly by the client to Google, Meta, or other platforms.
4) Client Responsibilities
- Provide necessary access to accounts, CMS, analytics, tracking tools
- Provide timely approvals and brand assets
5) Campaign & Content Changes
Routine optimizations are authorized; major changes will be discussed in advance.
6) Compliance & Marketing Rules
Both parties agree to follow applicable advertising, privacy, and email compliance rules.
7) Confidentiality
Each party will protect confidential information received from the other.
8) Intellectual Property
- Client owns its trademarks and pre-existing assets
- Upon payment, client receives rights to final deliverables
9) Remote Access
If remote access is required, it will be limited to relevant marketing operations.
10) Term & Termination
Either party may terminate with 15–30 days written notice. Fees remain payable up to the termination date.
11) Performance Disclaimer
No guaranteed results; performance depends on market, budgets, policies, and external factors.
12) Limitation of Liability
Liability is limited to fees paid in the last 1–3 months.
13) Indemnification
Client indemnifies for content they provide; Service Provider indemnifies for willful misconduct.
14) Governing Law
Governed by the laws of your selected State/Region.
15) Entire Agreement
These Terms + SOW/Proposal form the complete agreement.
